Legal Framework

The short version

  • MissionHelm AI is a productivity tool provided as-is. You're responsible for the content you create and for keeping your credentials safe.
  • The free tier has daily usage limits; Premium removes them via a paid subscription that renews until you cancel.
  • AI-generated schedules and suggestions are assistance, not professional advice — review before acting on them.
  • You own your data. We store it securely, never sell it, and delete it when you delete your account.
  • Our liability is capped at the fees you paid us in the last 12 months. Disputes are governed by Indian law.

1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and MissionHelm AI ("we", "us", "our") governing your access to and use of the MissionHelm AI web application, its AI features, and related services (together, the "Service").

By creating an account, clicking "Get Started", signing in with Google, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of the Service

MissionHelm AI is an AI-assisted productivity platform that helps you capture tasks and quests, break work into subtasks, generate circadian-aware daily timetables, run focus sessions, journal, and optionally synchronise with your Google Workspace (Calendar, Tasks, Drive, Docs).

The Service is offered on a free tier with daily usage limits and on paid Premium plans with expanded limits. Features, limits and pricing may change as the product evolves; where the change is material to a paid plan you will be notified in advance.

Availability: we use reasonable efforts to keep the Service available and will give advance notice of scheduled maintenance where possible. Emergency maintenance, third-party outages (cloud, AI providers, Google APIs) and force majeure events may cause interruptions without notice, and we are not liable for such downtime.

3. Accounts & Eligibility

  • You must be at least 10 years old to use the Service. If you are a minor under the age of 18, you may use the Service only with the knowledge and consent of a parent or legal guardian.
  • You are responsible for all activity under your account, for keeping your password secure, and for enabling two-factor authentication where available.
  • One person or entity per account; accounts may not be shared, resold, or automated via bots/scripts outside official integrations.
  • Guest accounts are temporary by design and their data may be purged at any time.
  • You must provide accurate information and keep it current. We may suspend accounts with false, abusive, or fraudulent details.

4. Subscriptions, Billing & Cancellation

  • Billing: Premium plans are billed in advance through our payment processor (Razorpay/UPI). Prices are shown at checkout and inclusive/exclusive of taxes as stated there.
  • Auto-renewal: subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless cancelled before the renewal date via Profile → Premium → Cancel Subscription.
  • Cancellation: cancelling stops future charges; your premium benefits remain active until the end of the paid period. Unless required by law, fees already paid are non-refundable — refund requests (e.g. accidental double-charge) are handled case-by-case via the support email and, when approved, processed to the original payment method within 5–10 business days.
  • Failed payments: we may downgrade your account to the free tier if a renewal cannot be processed.
  • Free tier: daily AI usage limits apply and reset at midnight; unused allowances do not roll over.

5. Acceptable Use

You agree NOT to:

  • Use the Service for unlawful, harmful, fraudulent, or infringing purposes.
  • Attempt to probe, scan, reverse-engineer, overload, or disrupt the Service or its security controls.
  • Circumvent usage limits, scrape at scale, or resell access without a written agreement.
  • Upload malicious code or content that is hateful, harassing, or sexually explicit involving minors.
  • Misrepresent your identity or use another person's Google account without authorisation.

We may suspend or terminate accounts that violate these rules, with notice where practicable.

6. Your Content & Data

You own your content. Tasks, quests, habits, plans, journals, chats and files you create remain yours. You grant us a limited, worldwide, non-exclusive licence to store, process, and display your content solely to operate and provide the Service (including transmitting it to the AI provider when you use an AI feature).

Backups: Drive backups you create are signed archives stored in your own Google Drive — you control them. We recommend regular backups; you are responsible for maintaining copies of content important to you.

Feedback: if you send us ideas or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Service, without obligation or attribution.

7. AI-Generated Output

Important disclaimer

Timetables, task breakdowns, risk scores, chat replies and other output produced by the Service's AI features are automatically generated assistance, not professional advice. AI models can make mistakes, hallucinate, or misjudge time and effort. You are responsible for reviewing output before acting on it, and for final decisions about your schedule, deadlines, and workload.

Do not rely on the Service as your sole system of record for legally or medically significant obligations, and do not use it for emergency scheduling.

8. Third-Party Services

The Service integrates with Google Workspace (Calendar, Tasks, Drive, Docs) under the Google API Services User Data Policy, and with payment processors (Razorpay) and AI model providers. Those services are governed by their own terms; we are not responsible for third-party availability, outages, or actions. You can disconnect any integration at any time from the app.

9. Intellectual Property

The Service itself — including its design, code, branding, "MissionHelm AI" name and logo — is owned by us or our licensors and protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the Service per these Terms. You may not copy, modify, distribute, sell, or create derivative works from the Service except as expressly permitted.

10. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED — INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE OR COMPLETE. AVAILABILITY DEPENDS ON THIRD-PARTY INFRASTRUCTURE (CLOUD, AI PROVIDERS, GOOGLE APIS) BEYOND OUR CONTROL.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, DATA, OR GOODWILL — ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE FEES YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (or, for free-tier users, INR 100). NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR WILFUL MISCONDUCT WHERE SUCH LIMITATION IS PROHIBITED BY LAW.

12. Indemnification

You agree to indemnify and hold harmless MissionHelm AI and its operators from claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Service, or your infringement of another person's rights.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay due fees, or where required by law — with notice where practicable. On termination: your right to use the Service ends immediately; your data is handled per the retention rules in our Privacy Policy; and sections that by their nature should survive (IP, disclaimers, liability, governing law) do so.

14. Governing Law & Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Any dispute arising out of or relating to the Service shall first be addressed through good-faith negotiation with our Grievance Officer. Unresolved disputes shall be subject to the exclusive jurisdiction of the competent courts of India. The Information Technology Act, 2000 and allied rules apply alongside these Terms.

15. Force Majeure

We are not liable for delays or failures in performance caused by events beyond our reasonable control — including natural disasters, war, terrorism, government action, pandemics, internet or utility failures, or outages of third-party cloud, payment or AI providers.

16. Changes to These Terms

We may update these Terms as the product evolves. Material changes will be announced in-app or by email at least 7 days before taking effect. Continued use after the effective date constitutes acceptance; if you disagree with the new Terms, you may stop using the Service and delete your account. The "Last updated" date above reflects the current version.

17. Entire Agreement & Severability

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the remaining provisions stay in full force. Our failure to enforce any right is not a waiver of it.
